Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Haikou Mingzhi Network Technology Co., Ltd. ("Company," "we," "us," or "our") concerning your access to and use of the www.mingzhi.icu website and any related services (collectively, the "Services").

Haikou Mingzhi Network Technology Co., Ltd. provides professional consulting services in the following areas:

  • Management, Scientific, and Technical Consulting Services
  • Business Consulting
  • Computer Systems Design and Related Services
  • Scientific Research and Development Services
  • Specialized Design Services
  • Other Professional, Scientific, and Technical Services

The specific scope, deliverables, and terms of any consulting engagement will be defined in a separate service agreement between you and the Company.

User Eligibility

By using our Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding contracts
  • You are not prohibited from using our Services under applicable laws
  • If acting on behalf of an organization, you have the authority to bind that organization to these Terms

User Responsibilities

When using our Services, you agree to:

  • Maintain the confidentiality of any account credentials
  • Notify us immediately of any unauthorized use of your account

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Haikou Mingzhi Network Technology Co., Ltd. or its licensors and are protected by Chinese and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

  • Copy, modify, or distribute any content from our Services without our prior written consent
  • Use our trademarks, logos, or brand elements without authorization
  • Reverse engineer, decompile, or disassemble any software or technology used in our Services
  • Remove any copyright, trademark, or other proprietary notices from our content

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation shall survive the termination of these Terms.

Service Fees and Payment

Fees for our consulting services will be specified in individual service agreements. Unless otherwise stated:

  • All fees are quoted in Chinese Yuan (CNY) unless otherwise specified
  • Payment terms will be outlined in the applicable service agreement
  • Late payments may be subject to interest charges as permitted by law
  • We reserve the right to suspend services for non-payment

Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our Services are provided "as is" and "as available" without warranties of any kind
  • We do not warrant that our Services will be uninterrupted, error-free, or secure
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid by you for the specific services giving rise to the claim

Indemnification

You agree to indemnify, defend, and hold harmless Haikou Mingzhi Network Technology Co., Ltd. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any content you submit or transmit through our Services

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use our Services will immediately cease
  • Any provisions of these Terms that by their nature should survive termination shall survive
  • We may delete any data or content associated with your account

Dispute Resolution

Any disputes arising out of or relating to these Terms or our Services shall be resolved as follows:

  • The parties shall first attempt to resolve disputes through good-faith negotiation
  • If negotiation fails, disputes shall be submitted to mediation
  • If mediation fails, disputes shall be resolved through arbitration in Haikou, Hainan Province, China
  • These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China

Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under these Terms due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such modifications constitutes your acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and Haikou Mingzhi Network Technology Co., Ltd. regarding the use of our Services and supersede all prior agreements and understandings.
